Creative Vistas, Inc. Announces Acquisition of XL Digital Services, Expansion into New Rogers Territories

WHITBY, Ontario--(BUSINESS WIRE)--Creative Vistas, Inc., a leading provider of advanced video security and surveillance solutions as well as broadband-related services, announced today that its subsidiary Cancable, Inc (Cancable) has completed the acquisition of XL Digital Services, Inc. (XL Digital).

XL Digital, incorporated in 2007, is a Canadian-based company provisioning the deployment and servicing of broadband technologies in the residential market for Canada's largest cable television provider, Rogers Cable (www.rogers.com). Along with cable television, Rogers also offers high-speed Internet access, residential telephony services, and video retailing.

The acquisition has been structured in the form of an earn-out over a one-year period. The form of payment will be a combination of cash and stock. It is expected to add to CVAS' revenues immediately and also positively contribute to its EBIDTA within the next three months.

XL Digital, with over 70 employees, provides its deployment and provisioning services for Rogers within two territories where CVAS currently does not have a presence. The acquisition enables CVAS to further expand its services into these two growing territories. XL Digital also brings CVAS a number of years of significant management experience within the cable and telecommunications sector.

The acquisition positions CVAS and its wholly owned subsidiary Cancable as the only organizations, outside of Rogers itself, that provide broadband deployment services to Rogers within seven of the cable company's eight primary territories within Ontario.
